A memorandum of understanding — an MOU — is usually described as a preliminary agreement. That is accurate. It is also a description that can make these documents sound less important than they sometimes are. MOUs often come before final contracts. They identify parties, describe a proposed project, and set terms for negotiation, due diligence, or a feasibility phase. In public conversation, they are often dismissed as harmless because they are “non-binding.” Sometimes that i
